Terms and Conditions

1. Acceptance of Terms

These Terms and Conditions (these "Terms") govern your registration for and participation in the Intellibus Hackathon (the "Hackathon"), organized by Intellibus Inc. ("Intellibus," "we," "us," or "our"). By registering for the Hackathon, you ("Participant," "you," or "your") agree to be bound by these Terms, our Code of Conduct, our Media Policy, and our Privacy Policy, each of which is incorporated into these Terms by reference. If you do not agree to these Terms, do not register for or attend the Hackathon.

Where a Participant is under the age of 18, these Terms must be accepted, and the Participant's registration consented to, by that Participant's parent or legal guardian, consistent with the parental consent process described in our Privacy Policy.

2. Definitions

  • "Hackathon" means each installment of the Intellibus Hackathon organized by Intellibus.
  • "Participant" means any individual registered to compete in the Hackathon as part of a Team.
  • "Team" means a group of between two (2) and five (5) Participants registered together to compete in the Hackathon.
  • "Submission" means the software application, code, design, documentation, and any related materials developed and submitted by a Team for judging.
  • "Judges" means the individuals appointed by Intellibus to evaluate Submissions.
  • "Organizer," "we," "us," and "our" refer to Intellibus.

3. Eligibility

The Hackathon is open to any individual, regardless of age, nationality, residency, profession, or student status, subject to successful registration and compliance with these Terms. There is no fee to participate. Participants under the age of 18 may register and compete only with the consent of a parent or legal guardian, obtained as part of the registration process.

4. Event Format

The Hackathon is a twenty-four (24) hour, in-person event during which Teams design, build, and present a working application, in accordance with the schedule published on the Hackathon website, which is subject to change. Participants must be physically present at the venue for the duration of the hacking period unless otherwise authorized by Intellibus.

5. Use of Tools and Originality of Submissions

Participants are encouraged to use publicly available open-source libraries, frameworks, APIs, and AI-assisted coding tools as part of their Submission. However, the substantive design, architecture, and implementation of each Submission must be newly created by the Team during the Hackathon's hacking period. Without limitation, the following are strictly prohibited and will result in immediate disqualification:

  • Submitting, in whole or in substantial part, a project, codebase, or product that was developed prior to the start of the Hackathon's hacking period;
  • Submitting code, designs, or other material copied or plagiarized from a third party without the right to do so;
  • Commissioning, purchasing, or otherwise obtaining a Submission, or any substantial part of it, from a third party not on the Team (i.e., "for-hire" development); and
  • Misrepresenting the authorship, originality, or functionality of a Submission.

Intellibus reserves the right to investigate any Submission and to disqualify a Team and/or revoke a Team's prize at any time, including after the Hackathon concludes, if it determines, in its reasonable discretion, that a violation of this Section 6 has occurred.

6. Intellectual Property

As between Intellibus and a Team, the Team retains full ownership of all intellectual property rights in and to its Submission, subject to the license granted below and to any third-party rights governing components used within the Submission.

By submitting a Submission, each Team grants Intellibus a non-exclusive, worldwide, royalty-free, sub-licensable license to use, reproduce, display, demonstrate, and publicly communicate the Submission (including its name, description, screenshots, source code excerpts, and any related demo recordings) for purposes of judging, promoting, and archiving the Hackathon, including on Intellibus's website and social media channels. This license does not transfer ownership of the Submission and does not restrict the Team's own use, commercialization, or further development of its Submission.

Each Team represents and warrants that it has all rights necessary to grant the license above and that its Submission does not infringe the intellectual property or other rights of any third party.

7. Judging

Submissions will be evaluated by the Judges in accordance with the applicable judging framework as described on the Hackathon website. All scoring and judging decisions are final and binding, and Intellibus will not enter into correspondence regarding individual scores. Intellibus reserves the right to disqualify any Team, at any stage of the competition, for violation of these Terms or the Code of Conduct.

8. Prizes and Prize Distribution

8.1 Cash Prizes. Cash prizes are awarded as described on the Hackathon website. Cash prizes are paid by bank transfer to an account designated by the winning Team's team lead, following verification of the Team's eligibility and compliance with these Terms. Each Participant is solely responsible for any taxes, withholding, or other obligations arising from their receipt of a prize under the laws applicable to them, and Intellibus may require a Participant to provide identification, banking, or tax information before disbursing a prize. Prizes not successfully claimed within ninety (90) days of the applicable award ceremony may be forfeited at Intellibus's discretion.

8.2 Fast Track Employment. A Participant, if selected, will be offered the opportunity to be fast-tracked into Intellibus's employment pipeline. This is an opportunity to be considered on an expedited basis and does not constitute a guarantee or offer of employment, which remains subject to Intellibus's standard hiring process and criteria.

8.3 Intellibus AI Academy Scholarship. A Participant, if selected, will be awarded a scholarship to the Intellibus AI Academy. This scholarship, and participation in the AI Academy, is subject to the separate terms and conditions of that program.

8.4 Right to Substitute. Intellibus reserves the right to substitute a prize of comparable value where circumstances beyond its reasonable control make it impractical to award a listed prize.

9. Assumption of Risk

The Hackathon is a physical, in-person event held over an extended twenty-four (24) hour period. By participating, you acknowledge and accept the inherent risks associated with attending an in-person, overnight event, including risks of personal injury, fatigue, and loss, theft, or damage to personal property (including laptops and other equipment) that you bring to the venue. You are solely responsible for the security of your own belongings. Participation in the Hackathon is at your own risk.

10. Disclaimer of Warranties

The Hackathon, the registration portal, and any related materials are provided on an "as is" and "as available" basis. Intellibus makes no warranty, express or implied, regarding the availability, reliability, or uninterrupted operation of the venue, power, internet connectivity, or any other event infrastructure.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Intellibus and its officers, employees, mentors, judges, volunteers, and partners will not be liable for any indirect, incidental, special, or consequential damages, or for any loss of data, profits, or opportunity, arising out of or in connection with your participation in the Hackathon. Nothing in these Terms limits liability that cannot be limited or excluded under applicable law, including liability for death or personal injury caused by negligence, to the extent applicable.

12. Indemnification

You agree to indemnify and hold harmless Intellibus and its officers, employees, mentors, judges, volunteers, and partners from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising out of your breach of these Terms, your Submission's infringement of a third party's rights, or your misconduct at the Hackathon.

13. Code of Conduct and Media Policy

Your participation in the Hackathon is also governed by our Code of Conduct and our Media Policy, both of which are incorporated into these Terms by reference. A violation of either policy may result in disqualification and/or removal from the event, as described in those policies.

14. Force Majeure

Intellibus will not be liable for any failure or delay in performing its obligations under these Terms, including postponement, modification, or cancellation of the Hackathon, resulting from circumstances beyond its reasonable control, including natural disasters, extreme weather, government action, power or infrastructure failure, or public health emergencies.

15. Governing Law and Dispute Resolution

These Terms are governed by, and construed in accordance with, the laws of Jamaica, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Hackathon shall be subject to the exclusive jurisdiction of the courts of Jamaica.

16. Disqualification and Termination

Intellibus reserves the right, in its sole discretion, to disqualify any Participant or Team, or to remove any individual from the Hackathon, for violation of these Terms or the Code of Conduct, without liability to Intellibus.

17. Amendments

Intellibus may amend these Terms from time to time. Amendments will be posted on this page with a revised effective date and, where material, communicated to registered Participants by email. Continued participation in the Hackathon after such changes constitutes acceptance of the amended Terms.
